The agreement is organized in two phases. Incorure will initially purchase half of ISHI ownership rights using 2.47 million from its regular shares. The rest will be obtained as soon as ISHI will achieve the continuous profitability for three months or within two years, compared to additional 2.46 million shares.
In total, the deal is equivalent to about 10 % of the distinctive shares that have been completely diluted. It is expected to be closed in the first quarter of 2026, awaiting organizational approvals in Israel.
